Senseiot Sensor Mall Service Agreement
Thank you for your trust and support in Senseiot. In order to better serve you and clarify your rights and obligations with Senseiot, please carefully read this agreement before registration. Once you register, log in, or use Senseiot, it means that you have fully read, understood, and agreed to accept the terms of the "Senseiot User Agreement". We reserve the right to revise the "Senseiot User Agreement" at our discretion according to business needs. The updated "Senseiot User Agreement" will be automatically effective from the date of publication on the Senseiot Sensor Mall website without further notice.
1. Definitions
"Customer" refers to individuals, legal persons, or other organizations that purchase products from Senseiot through placing orders or other forms recognized by Senseiot.
"Contract" refers to the contract between Senseiot and the customer for the supply and/or provision of services, and this User Agreement constitutes an integral part of the contract that cannot be separated.
"Product" refers to goods or services supplied or to be supplied by Senseiot to the customer.
"Order" refers to the offer to purchase products made by the customer through various forms recognized by Senseiot, such as Senseiot's online customer service phone, email, Senseiot's online purchase platform, etc.
"In writing" includes electronic communication, such as fax, email, etc.
2. User Registration
2.1 User Qualification: Senseiot registered users must be natural persons, legal persons, or other organizations with full civil rights and capabilities corresponding to their civil acts. User registration must comply with Senseiot's relevant requirements. Your Senseiot account may not be transferred or sold to others. Senseiot shall not be liable for any losses caused by improper operation or leakage of account passwords to third parties by users. Senseiot reserves the right to suspend or terminate your account at its discretion.
2.2 Information Filling: Senseiot registered users must provide true, complete, and valid personal information to Senseiot. If there is any change in personal information, it must be updated promptly by the user through Senseiot. It is strictly prohibited for users to register two or more accounts based on one set of enterprise materials (including but not limited to business licenses, tax registration certificates, company names, etc.). Once discovered and confirmed, Senseiot reserves the right to close accounts and clear out the accounts, and shall not be responsible for any losses incurred by users as a result of such operations.
3. Prices
3.1 The price of the product is calculated in RMB and USD, and the RMB price includes value-added tax.
3.2 Senseiot makes every effort to provide the latest and most accurate product and product price information, but the product price may change at any time before Senseiot agrees to accept the customer's order.
3.3 After confirming the customer's order, if Senseiot considers that there is a significant fluctuation in the RMB to USD exchange rate and/or the original factory price is adjusted, and/or other uncontrollable factors cause a price change, Senseiot reserves the right to change the confirmed price.
3.4 Once errors are found in the product description or supply status information, or pricing errors, Senseiot will notify the customer of such corrections. At that time, the customer may choose to accept the corrected product description, supply status, or pricing, or cancel the order.
3.5 In the case of installment delivery of products (referred to as "installment delivery"), the price of products delivered within 90 days after the order date shall be the price applicable at the time of the first batch of products shipped. If installment delivery may last for more than 90 days or longer after the order date, Senseiot reserves the right to increase the price applicable on the date of shipment of the batch of products.
3.6 Senseiot shall be responsible for any tariffs, customs clearance fees, document fees, and other expenses and charges related to the product. If additional expenses are incurred due to unexpected circumstances beyond Senseiot's control, Senseiot shall not bear such expenses.
4. Orders
4.1 Senseiot reserves the right to refuse transactions. Once accepted, customers are obliged to complete transactions with Senseiot (except for transactions prohibited by law or this User Agreement), and no order may be canceled without the written consent of Senseiot.
4.2 By placing an order, you agree to be bound by the sale conditions contained in the product description, as long as such sale conditions do not violate this Agreement or are not illegal.
5. Payment
5.1 If the customer chooses online payment, payment must be completed within 24 hours after submitting the order. If the customer chooses bank transfer, the remittance must be completed within 2 working days after submitting the order. A 30% deposit can be prepaid for the order, and the balance must be paid before shipment.
5.2 If the customer fails to pay the amount due on the due date, Senseiot has the right to:
5.2.1 Cancel the order or suspend any further delivery or performance;
5.2.2 Request the customer to pay immediately;
5.2.3 Request the customer to pay the expenses incurred by Senseiot for stocking or storing the stocked goods;
5.2.4 Collect interest from the customer on the unpaid amount (both before and after judgment) at an annual interest rate exceeding 5% of the benchmark interest rate published by the People's Bank of China until the full payment is made (for the purpose of calculating interest, less than one month is counted as one month);
5.2.5 Require the customer to pay any expenses incurred by Senseiot for the recovery of the payment (including but not limited to litigation costs), and Senseiot reserves the right to further claim the losses from the customer for Senseiot's losses.
6. Delivery
6.1 The delivery time of goods shall be based on the standard delivery time in the senseiot contract. If the delivery is delayed due to reasons beyond the control of senseiot or unforeseen circumstances, senseiot shall not be held responsible to the customer, and the customer shall not cancel the order due to this reason. If the delay in receiving the goods or any other risks incurred are due to reasons on the customer's end, the customer shall bear the consequences.
6.2 If no specific agreement is made regarding the delivery date or deadline, the products shall be delivered when they are ready. If the customer fails to receive the products on the agreed date and manner, or fails to receive the products within 10 days after the products are ready without a clear delivery date and/or delivery method, senseiot reserves the right to choose the most appropriate method to deliver the products.
6.3 Senseiot delivers the products according to the delivery method selected in the customer's order. If no delivery method is selected in the customer's order, senseiot will choose a reasonable method to communicate with the customer to determine the delivery.
6.4 If it is necessary to change the delivery time of an order, you should consult senseiot in a timely manner to inquire whether the delivery time of the order can be changed in its current state. If conditions permit, senseiot will meet your change requirements, but once your order has entered the processing stage or preparations for shipment have begun, you cannot change the delivery time.
7. Acceptance
7.1 After senseiot delivers the goods, the customer must confirm receipt and inspect the products as soon as possible. If significant defects or deviations from the type, specifications, or quantity of the products listed in the order are found during reasonable inspection, or if the customer has any other objections related to the products, detailed written notice must be given to senseiot within one week after delivery, accompanied by the delivery note. If the customer fails to provide such notice, the products shall be deemed to conform to the contract in all aspects, and the customer shall be deemed to have fully accepted the products.
7.2 If the customer receives a damaged package, the customer should take photos of the package to confirm the damage and notify senseiot immediately before opening the package.
7.3 If the customer can adequately prove that the products do not conform to the contract or have defects, senseiot has the right to choose to replace the products, resupply the products, or refund the price paid for the products at that time within a reasonable time.
8. Risk and Ownership
The risk of damage or loss of goods shall transfer to the customer when the goods are unloaded from the carrier at the customer's premises. Senseiot shall not be liable for any damage or loss of products after the delivery of the products. The ownership of the goods shall not transfer to the customer until senseiot has fully received all amounts due from the customer to senseiot, and the products have been delivered and acknowledged by the customer.
9. Return of Goods
9.1 Before returning any items, consent from senseiot must be obtained. All returned goods shall be returned by the customer at the customer's risk and expense, and shall be undamaged by the customer and in their original packaging. The customer shall be responsible for returning the goods to senseiot and providing proof of delivery of such returns. Proper precautions must be taken for goods classified as "electrostatically sensitive."
9.2 All goods accepted for return shall be returned to senseiot within one week after delivery by senseiot.
9.3 Senseiot reserves the right to charge a restocking fee of 40% of the invoice value for any goods returned as "not needed" or "incorrectly ordered."
9.4 Senseiot explicitly reserves the right to refuse cancellation of orders or returns of the following goods:
9.4.1 Products not sold and shipped by senseiot;
9.4.2 Products with damaged or missing original packaging and labels;
9.4.3 Receipt time exceeds one week, based on the date of receipt by courier;
9.4.4 Lost invoices issued;
9.4.5 Products that have been used by the customer, except those with inherent defects;
9.4.6 Problems affecting product quality, including but not limited to: accidents, misuse, improper use, power issues, failure to use, store, install the product according to the instructions, failure to perform required preventive maintenance, normal wear and tear, natural disasters, fires, floods, wars, violence, or any similar events; debugging, repairing, supporting, processing, or reselling products by non-senseiot personnel or unauthorized persons, and problems caused by using parts not supplied by senseiot.
9.5 If senseiot receives any products not sold and shipped by it, senseiot will immediately inspect and dispose of them. For products returned by customers to senseiot, customers must prove that the returned products were purchased from senseiot and have not been replaced in whole or in part by identical or similar products from other manufacturers, producers, suppliers, distributors, or other channels.
10. Import and Export Restrictions
Goods may be subject to import and export control laws, restrictions, regulations, and orders of China and the countries of origin of the goods. The customer agrees to comply with all applicable import and export laws, restrictions, and regulations of China and other foreign institutions or authorities, and shall not export or transfer goods to any prohibited or embargoed country, or individuals or organizations prohibited, prevented, or listed by laws enacted by China or other countries for the purpose of re-export. The customer shall bear the cost of obtaining any permits and comply with any applicable import and export regulations of China and the countries to which the goods are sold. Senseiot reserves the right to refuse to supply goods to specific customers or countries and to request full details of the final use and destination of the goods from customers.
11. Application Restrictions
11.1 Under no circumstances shall customers use the products for purposes related to antipersonnel landmines or for any purposes related to biological, chemical, or nuclear weapons or missiles for the delivery of such weapons.
11.2 The products shall not be used for aerospace or aviation vehicles or other airborne transportation applications, life support or supply equipment, surgical implant devices, or any other purposes where failure of the goods would reasonably be expected to result in personal injury, death, environmental damage, or severe property damage. It is strictly prohibited to use or incorporate any products in such equipment, systems, or applications. Senseiot shall not be liable for any losses and damages directly or indirectly caused by the use of the products for such purposes to the maximum extent permitted by law.
11.3 If customers use or sell products in any such prohibited areas and purposes, customers agree:
11.3.1 Customers acknowledge that they bear the risk of such use or sale;
11.3.2 Customers agree that senseiot and the product manufacturers shall not be held responsible for any claims or damages arising from such use;
11.3.3 Customers agree to indemnify senseiot and its manufacturers for any and all losses, liabilities, and expenses (including legal and other costs) incurred due to such inclusion or use, even if the loss can be attributed to design or manufacturing defects.
12. Force Majeure
12.1 If senseiot's delay or failure to perform any obligations under these terms is due to any reason beyond senseiot's reasonable control (including but not limited to government actions, war, fire, widespread epidemic diseases, explosions, floods, catastrophic weather conditions, import/export controls or embargoes, labor disputes, inability to obtain goods or labor), senseiot shall not be liable to the customer for such delay or failure to perform, nor shall it be deemed a breach of contract.
12.2 If senseiot's performance of the contract is hindered by the aforementioned reasons, senseiot may, at its own discretion, decide to delay or cancel all or part of the contract, and shall not be liable for such delay, cancellation, or any failure to deliver.
13. Communication Declaration
When you use any services on this website or send emails or messages to us, you are contacting us. You agree to accept our information in a reasonable manner (including but not limited to email or messaging). We will communicate with you through email, messages, notices posted on this website, or other services. You agree that all agreements, notices, disclosures, and other information provided to you in these ways comply with relevant legal requirements. If we send you information in this manner or post relevant notices on this website, you will be deemed to have received all agreements, declarations, disclosures, and other information.
14. Privacy Statement
14.1 Personal Data: User information such as real name, address, email, industry sector, and contact phone number. Without your consent, senseiot will not use your data for other purposes.
14.2 Use of Non-Personal Information: Senseiot will collect non-personalized information through your IP address, including your browser type, operating system type, and ISP domain name that provides you with access services, to optimize the display of pages on your computer screen. By collecting the above information, we also conduct customer traffic statistics to improve website management and services.
14.3 Personal Data Security: Senseiot uses secure servers and control devices to protect your personal data.
15. Network Security
You agree not to use any robots, spider software, screen scraping software, or other automated means to access the website without express written permission from senseiot.
15.1 Engage in any behavior that senseiot determines (at its discretion) to cause or potentially cause an unreasonable or disproportionate load on the senseiot website.
15.2 Without prior express written permission from senseiot, make copies, reproduce, modify, create derivative works, distribute, or publicly display any content on the website (except your personal information).
15.3 Interfere or attempt to interfere with the normal operation of the website or any activities conducted on the website.
15.4 Use in the website any content that may be prohibited or may be considered prohibited under applicable laws and regulations.
15.5 Use on the website any virus, trojan horse, worm, time bomb, fly delete, Easter egg, spyware, or other computer program that may damage, alter, delete, adversely affect, secretly intercept, or appropriate any system, data, or personal information without authorization.
16. Property Declaration
The copyrights, patents, trademarks, trade secrets, and any other ownership or rights related to the network services provided by senseiot belong to senseiot. Without senseiot's consent, no one or user may download, copy, transmit, adapt, or edit them, otherwise they shall bear all legal responsibilities. To the extent permitted by law, senseiot owns all data and information generated during the provision of network services to users and stored on senseiot's servers. If the ownership of the data information cannot be attributed to senseiot under legal provisions, senseiot still has the free, permanent, irrevocable right to use and sublicense the data information.
17. Disclaimer
17.1 Senseiot is not obligated and does not assume any responsibility for the content of any third-party links. Users must judge and assume their own risks.
17.2 This website is not responsible for any personal data leakage caused by links to other websites and any resulting legal disputes and consequences.
17.3 This website is not responsible for any personal data leakage caused by users disclosing their passwords to others or sharing registered accounts with others.
17.4 When government judicial authorities require senseiot to disclose personal data in accordance with legal procedures, we will provide personal data according to the requirements of law enforcement agencies or for the purpose of public safety. In this case, this website is not responsible for any disclosure.
17.5 When this website needs to suspend services due to system maintenance or upgrades, it will be announced in advance. If the suspension of services is caused by force majeure or other force majeure, this website is not responsible for any inconvenience or loss during the suspension of services.
17.6 This website is not responsible for any personal data leakage, loss, theft, or alteration caused by force majeure, such as hacker attacks, computer virus intrusions, or temporary closures due to government regulation affecting the normal operation of the network.
17.7 For issues not covered by this statement, please refer to relevant national laws and regulations. In case of conflict between this statement and national laws and regulations, the national laws and regulations shall prevail.
18. Others
18.1 This agreement, including the agreement text and all types of rules that senseiot has already published or may publish in the future, is subject to the laws of the People's Republic of China and shall be interpreted accordingly. The customer must ensure compliance with all provisions of this user agreement. In case of disputes, both parties shall first attempt to resolve them amicably through friendly negotiation. If the dispute cannot be resolved in this manner within 30 days, either party has the right to submit the dispute to the competent People's Court at the place of the company's registration or business premises for adjudication, but this does not affect the company's right to choose to litigate in the jurisdiction of the customer's place of registration or business premises or any other competent court. The provisions of this agreement are severable. If any provision of this agreement is determined to be invalid or unenforceable, such provision may be deleted, and the remaining terms shall be enforced with equal legal effect.
18.2 All orders accepted by senseiot are subject to this user agreement. The contract becomes effective when senseiot receives full payment or advance deposit from the customer. The customer acknowledges that before the relevant contract is formed, the customer has fully understood and accepted this user agreement. This user agreement supersedes any other terms appearing elsewhere; and this user agreement negates and excludes any other terms stipulated, included, or referred to in the order or in the negotiation or transaction process with senseiot, unless specifically agreed in writing by an authorized signatory of senseiot in a written form in the company's documents; contracts issued by senseiot and this user agreement constitute the entire and sole understanding and agreement between senseiot and the customer regarding the products, services, or sales or repairs.
18.3 Senseiot reserves the right to modify this user agreement at any time without prior notice. Any descriptions and illustrations contained in any quotation, delivery time, or other materials conveyed to the customer are provided for overview purposes only, and none of the content contained in such materials constitutes the content of the contract between senseiot and the customer. The content contained in the above materials is only an invitation to offer issued by senseiot to the customer, not an offer. Senseiot may correct printing errors, writing errors, or other errors or omissions in its price lists, order confirmations, invoices, or other documents and data, and the corrected documents shall prevail.
18.4 Unless otherwise agreed in writing, modifications or changes to the contract must be proposed in writing and must be signed/sealed by a legally authorized representative to be effective.
18.5 If the law stipulates a minimum age for purchasing specific goods, the customer confirms that they meet the age requirements personally, and the goods will also be delivered by individuals who meet the relevant age restriction requirements.
18.6 Senseiot has the right to enforce this user agreement through means including but not limited to deleting information, terminating accounts, prohibiting this user from re-registering, or initiating legal proceedings.
